CONSTITUTION and BYLAWS

Maryland City/County Management Association (MCCMA)
Article 1. Name and Office
Section 1: The name of the organization shall be the Maryland City/County Management Association (MCCMA), hereinafter referred to as “the Association”.
Section 2: The Association may have and maintain an office in the State of Maryland. The address of the office may, from time to time, be changed by the Board of Directors.
Article 2. Purpose
The purpose of the Association shall be to improve the proficiency of municipal, county and other local government managers and administrators; maintain the high ethical standards of the profession; and to strengthen the quality of local government in the State of Maryland through professional management.
Article 3. Affiliation
The Association shall be affiliated with the International City/County Management Association, hereinafter referred to as ICMA. The Association may be affiliated with other organizations, such as the Maryland Municipal League and the Maryland Association of Counties. The President of the Association, or President’s designee, shall represent it in its relationships with the ICMA and other organizations.
Article 4. Membership
Section 1: The membership categories of the Association shall be defined as follows:
(a) Voting Member--Any person who is employed by a Maryland city, town, county, or regional council of governments or any person who is retired from local government service in Maryland.
(b) Affiliate Member--Any person who wishes to cooperate with practicing managers or administrators in the advancement of professional knowledge and practice, such as consultants, students, or others. These are not voting members.
Article 5. Dues
Section 1: The dues of members shall be established by a resolution of the membership from time to time.
Section 2: Dues shall be payable on July 1 and considered in arrears if not paid by September 30. Any member in arrears shall be required to pay the non-member registration fee for any meeting of the Association.
Section 3: Any Member whose dues are in arrears for a period of six months shall be suspended from membership, notified in writing of his or her suspension and shall be excluded from all the rights and privileges of membership in the Association.
Article 6. Fiscal Year
The fiscal year shall begin on July 1 and end June 30.
Article 7. Code of Ethics
Section 1: The ICMA Code of Ethics is hereby adopted as the Code of Ethics for the Association. All voting members are required to comply with the provisions of the Code as a condition for continuation of membership.
Section 2: Procedures for enforcing the Code of Ethics shall be those established by ICMA.
Article 8. Officers
Section 1: The officers of the Association shall be a President, a Vice President, a Treasurer, and a Secretary. All officers shall be voting members of the Association in good standing. At least one officer shall be a Full Member of ICMA. Their term of office shall be one year or until their successors are elected.
Section 2: (a) The President shall be the principal executive officer of the Association and shall generally supervise the business and affairs of the Association. They shall preside at all meetings of the Association and the Board of Directors and shall give an annual report to the Association at the annual meeting. They shall appoint members to the MCCMA Nominations Committee, ICMA Conference Planning Committee, and, when necessary, other ad hoc committees with the approval of the Board of Directors.
(b) The Vice President shall assist the President with the business and affairs of the organization. They shall preside at any meeting of the Association or Board of Directors in the absence of the President.
(c) The Treasurer shall transact the necessary financial business of the Association, keeping a complete record of all transactions, which shall be submitted for review at the annual meeting of the Association. The Treasurer shall also prepare the annual budget for adoption.
(d) The Secretary shall take and transcribe a set of minutes for all Association and Board of Directors meetings. The Secretary shall also be responsible for reviewing correspondence of the Association. The Secretary shall maintain and coordinate the MCCMA records, archives, website, and membership list with ICMA.
Article 9. Board of Directors
Section 1: The Board of Directors shall be the Officers and the Past President, and one additional member from each of the following five Maryland regions: Western Region (Garrett, Allegany, and Washington counties); Suburban D.C. Region (Frederick, Montgomery, and Prince George’s counties); Baltimore Region (Carroll, Baltimore, Harford, Howard, and Anne Arundel counties); Southern Region (Charles, Calvert, and St. Mary’s counties); and the Eastern Shore Region (Cecil, Kent, Queen Anne’s, Talbot, Caroline, Dorchester, Wicomico, Somerset, and Worcester counties). At the time of their election to the board, each regional board member shall be a voting member of the Association and shall reside in their respective region. It shall be the duty and responsibility of the Board of Directors to carry out the objectives of the Association.
Section 2: The Board of Directors shall meet periodically (in-person or remote) to conduct the business and affairs of the Association, and they shall approve appointments of the President when required. Meetings of the Board of Directors shall be held on the call of the President or upon request in writing in any two (2) members of the Board of Directors.
Section 3: At the annual meeting of the Association, the Board of Directors shall submit a proposed budget for the next fiscal year to be approved by the membership. The budget may be amended by the Board of Directors at any time during the fiscal year.
Section 4: The Board of Directors may negotiate and adopt contracts from time to time as deemed necessary to carry out the goals and objectives of the Association. Such contracts may include but are not limited to an agreement/relationship with another organization to perform Secretariat services for the Association.
Section 5: Filling Vacancies: In the absence of the President or in the event of the President’s inability to act, the Vice President shall perform the duties of the President, and when so acting, shall have all the powers and be subject to all the restrictions upon the President. Any vacancy in any other office shall be filled by appointment by the President, subject to approval by the Board of Directors; however, if the vacancy occurs within sixty days before an Association meeting, the vacancy shall be filled by election.
Appointments by the President shall be effective until a successor takes office. In the instance of a vacancy of the office of President, the Association shall hold a special election at the next Association Meeting.
Article 10. Committees
Section 1: The President shall make appointments to the following standing Committees:
MCCMA Nominations Committee
ICMA Conference Planning Committee
Other ad hoc committees may be appointed at the discretion of the President with the approval of the Board of Directors. With the exception of the Nominations Committee, any member of the Association is eligible to serve on any Committee; however, each Committee shall be chaired by a Voting Member of MCCMA appointed by the President. Except for the Nominations Committee Chair, the chairs may serve two (2) consecutive 1-year terms.
Section 2: Nominations Committee: The immediate Past President shall chair the Nominations Committee. If the immediate Past President is ineligible to Chair, then the President shall appoint a recent Past President as Chair. The Nominations Committee shall consist of not less than three Voting Members appointed by the President and approved by a majority of the Board of Directors in attendance. The Nominations Committee must be formed at least 30 days prior to the meeting where the vote will be held. The Nominations Committee shall conduct a canvassing of potential candidates and subsequently propose a slate of Officers at the meeting where the vote will be held. The President shall also call for nominations from the floor prior to the vote.
Article 11. Association Meetings
Section1: The Association shall hold an annual meeting during the last quarter of each fiscal year. The time and place of this meeting shall be approved by the Board of Directors. At least thirty (30) days’ notice shall be given to the membership of this meeting.
Section 2: The President or a majority of the board shall schedule at least one additional Association meeting a year and may schedule other official meetings of the Association as necessary. At least fifteen (15) days’ notice will be given for such meetings.
Article 12. Nominations and Elections
Section 1: At least 30 days prior to the annual meeting the Association shall announce the date and location of the upcoming election for the Officers and the five Regional Board Members.
Section 2: The Nominations Committee shall submit the names of candidates it proposes for offices and each Regional Board Member. Additional nominations shall then be permitted from the floor by the President.
Section 3: At each annual meeting the Association shall elect, by a vote of the members of the Association present, the officers enumerated in Article 8 and the Regional Board Members. Any candidate receiving a majority of all votes for any office and Regional Board position shall be declared elected.
Section 4: All Voting Members in good standing shall be eligible to vote in the election.
Section 5: Following the annual election, newly elected officers and Regional Board Members shall begin their term of office on July 1, the first day of the upcoming fiscal year.
Article 13. Amendments
These by-laws may be amended or repealed if properly initiated and voted upon. Proposed amendments or repeals may be initiated by the Board of Directors or by written petition by 20% of the membership in good standing. Proposed amendments or repeals shall be reviewed by an ad hoc committee. The ad hoc committee will make recommended changes to the by-laws. Voting on recommended amendments or repeals will take place at the next scheduled Association meeting with at least 30 days’ notice of the recommended changes. The changes shall become effective upon the ratification by two-thirds of the members present at the meeting.
Article 14. Proxies Prohibited
Voting by proxy shall not be allowed at any meeting of the Association.
